These Terms & Conditions ("Terms") govern: (a) your use of our website and digital services (the "Site"); (b) our recruitment and staffing services for Clients/Hirers ("Client Terms"); and (c) our services for Candidates/Work-Seekers ("Candidate Terms").

If you do not agree to these Terms, please do not use the Site or our services.

2. Definitions

  • Assignment: a temporary placement of a Candidate or Agency Worker to perform services for a Client.
  • Introduction: the provision of a CV or Candidate details which identifies a Candidate to a Client, whether or not an interview takes place.
  • Engagement: a Client’s employment or use of a Candidate (directly or through an intermediary) following an Introduction or Assignment, including permanent, fixed‑term, contract for services, consultancy or via any third party.
  • Agency Worker: a worker supplied on a temporary basis to a Client under our direction, or under the Client’s supervision and direction.
  • AWR: Agency Workers Regulations 2010.
  • Conduct Regulations: Conduct of Employment Agencies and Employment Businesses Regulations 2003 (as amended).

3. Website Terms of Use

3.1 Access and content

We may update or withdraw the Site without notice. Content is provided for general information and does not constitute advice. We do not guarantee the Site will be error‑free or uninterrupted.

3.2 Acceptable use

You must not misuse the Site, introduce malware, attempt unauthorised access, scrape, or copy content except for personal use. You may link to public pages in a fair and lawful way.

3.3 Intellectual property

All trademarks, logos, copy and media on the Site are owned by or licensed to us. You may not reproduce them without written consent.

3.4 Third‑party links

Links to other sites are provided for convenience only. We are not responsible for their content or policies.

4. Privacy, Data & Cookies

We process personal data in accordance with our Privacy Policy and Cookie Policy, which form part of these Terms. By using the Site or our services, you consent to such processing. You must only provide accurate information and obtain any third‑party consents needed.

5. Candidate Terms (Work‑Seekers)

5.1 No fee to work‑seekers

We do not charge Candidates a fee for finding or attempting to find work. Optional paid services (e.g., training or transport) will be clearly described and are cancellable on notice.

5.2 Registration & information

You agree to provide accurate and complete information, including identity, Right to Work (RTW) in the UK, employment/education history (typically 5 years), references, and any required checks. You will promptly tell us about any changes.

5.3 Vetting & compliance

For safety‑critical and secure environments (e.g., airside), you may be required to complete background checks (such as CRC/CTC), security training (e.g., GSAT), and site‑specific inductions. Failure to pass vetting may prevent placement.

5.4 Key Information Document (KID)

Where required, we will provide a Key Information Document before you agree terms for temporary work, summarising pay, deductions, holiday entitlement and other key information.

5.5 Offers & engagement

An Introduction or interview does not guarantee a job offer. Any offer is subject to Client approval, background checks, references, and RTW.

5.6 Conduct

You agree to act professionally and comply with Client policies on health & safety, security, confidentiality, and site rules. You must report incidents, hazards, and conflicts of interest.

5.7 Pay & timesheets (temporary roles)

Pay rates, method, and frequency will be confirmed before you start. Timesheets (or electronic approvals) must be accurate and submitted on time. Holiday pay and statutory rights apply in accordance with applicable law and your engagement terms.

5.8 Equal treatment (AWR)

For qualifying Assignments with the same hirer, you may be entitled to equal treatment for basic working and employment conditions after the statutory qualifying period. We will work with the hirer to facilitate compliance.

6. Client Terms (Hirers)

These Client Terms apply to all Introductions, Engagements and Assignments where no separate signed agreement is in place. If a signed agreement exists, its terms take precedence.

6.1 Introductions & ownership

You agree that an Introduction is confidential and not to be shared beyond your group except to evaluate the Candidate. If you (or any group company or third party to whom you pass the Candidate’s details) Engage the Candidate within 12 months of our Introduction (or last Assignment), our relevant fee or transfer charge will be payable.

6.2 Permanent / direct hire fees

Our fee for a permanent Engagement is [●]% of the Candidate’s first year’s gross annual remuneration (or day‑rate × expected days), payable within [14] days of invoice on offer acceptance or start (whichever is earlier). Minimum fee: £[●].

Rebate / replacement (optional): If the Candidate leaves within [8] weeks (except redundancy/restructure or where you are in breach or have not paid), we will provide a [tiered rebate] or [one‑time replacement search] as described in your order confirmation. Any rebate/replacement is conditional on payment within terms and prompt notice of termination.

6.3 Temporary supply (Assignments)

Where we supply Agency Workers:

  • Charges: You will pay hourly/daily charges covering pay, holiday, NI, pension, apprenticeship levy (if any), and our margin. Overtime, unsocial hours, travel or other allowances apply if agreed. Current rates are set out in your order confirmation.
  • Minimums & cancellations: Minimum shift length [4] hours unless agreed. Same‑day cancellations may incur [up to 100%] of the first shift charge.
  • Timesheets: Authorised timesheets are conclusive of hours worked (save for manifest error). Disputes must be raised within [5] days of receipt.
  • Supervision & direction: Agency Workers perform services under your day‑to‑day supervision and direction. You are responsible for providing a safe working environment, equipment, and instructions.
  • AWR information: You will provide us with information we reasonably require to assess and implement AWR equal treatment entitlements and comparator terms.
  • Transfer/Introduction fees: If you (or an associated party) directly Engage an Agency Worker during an Assignment or within [14] weeks from the start or [8] weeks from the end (whichever is later), a transfer fee of [●]% of annual remuneration (minimum £[●]) applies or you may choose an extended hire period of [●] weeks instead, where permitted by law.

6.4 Compliance & exclusions

We will not supply Agency Workers to replace workers taking part in official industrial action. You agree not to request supply for that purpose. You will not unlawfully discriminate, and you will promptly notify us of any incidents affecting welfare or safety.

6.5 Invoices & payment

Invoices are due within [14] days of the date of invoice unless stated otherwise. We may charge statutory interest and recovery costs on late payments. We may suspend services for non‑payment.

6.6 Liability & indemnities

We use reasonable care in vetting and selection but do not guarantee suitability. You are responsible for verifying a Candidate’s qualifications, licences, and right to work, and for managing performance once Engaged. To the maximum extent permitted by law, our aggregate liability arising from any Introduction or Assignment is limited to the greater of £[25,000] or 100% of fees paid in the 12 months preceding the claim, excluding death or personal injury caused by negligence, fraud, or other liabilities that cannot legally be excluded or limited. You shall indemnify us against claims arising from your supervision, direction, or breach of law.

6.7 Confidentiality

Both parties will keep each other’s confidential information secure and only use it for the purpose of the engagement.

6.8 Non‑solicitation (optional)

During an Assignment and for [6] months after, neither party will solicit the other’s employees who are materially involved in the services, save in response to a bona fide general advertisement.

7. General

7.1 Changes to these Terms

We may update these Terms from time to time. Changes apply from publication on the Site unless stated otherwise.

7.2 Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control.

7.3 Severance

If any provision is invalid, the remainder will continue in full force.

7.4 Assignment

We may assign or subcontract our rights and obligations. You may not assign without our written consent.

7.5 Entire agreement & order of precedence

These Terms, together with any signed agreement and order confirmations, constitute the entire agreement and supersede prior discussions. A signed agreement (if any) prevails over these Terms to the extent of conflict; order confirmations prevail over general Terms for service‑specific items.

7.6 Notices

Formal notices must be sent by email to contracts@aviserv.co.uk (or another address we notify) and to your last notified contract email address, and are deemed received on business days when sent before 5pm UK time.

7.7 Governing law & jurisdiction

These Terms and any non‑contractual obligations are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

8. Schedule A — Fee Examples (Placeholders)

Replace the placeholders with your current commercial schedule before publishing.

  • Permanent placement: [17.5%] of first‑year salary; minimum fee £[2,000].
  • Fixed‑term contract: [17.5%] of total contract value; convert to permanent fee if extended beyond [12] months.
  • Temp hourly day rates: Role bands and rates per order confirmation.
  • Transfer fee: [20%] of first‑year salary (minimum £[2,500]) or extended hire option of [12] weeks.
  • Cancellations: Same‑day shift cancellation: [100%] of first shift; <24h: [50%].
  • Rebate: 0–4 weeks: [50%]; 5–8 weeks: [25%].

9. Schedule B — Site Acceptable Use (Summary)

  • Do not upload unlawful, defamatory, discriminatory, or infringing content.
  • Do not attempt to bypass security or copy Site code/content.
  • We may remove content, suspend access, or report illegal activity to authorities.
